Acceptance of Terms

Welcome to RaceOps. These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and RaceOps, LLC (“RaceOps,” “we,” “our,” or “us”) governing your access to and use of the RaceOps platform, website, and related services (collectively, the “Service”).

By accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, you must not access or use the Service.

You must be at least 16 years of age to use the Service. By using the Service, you represent and warrant that you are at least 16 years old and have the legal capacity to enter into these Terms. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

Description of Service

RaceOps is a business-to-business (B2B) software-as-a-service (SaaS) platform designed for racing team operations management. The Service provides tools and features for managing various aspects of racing team operations, including but not limited to:

• Asset Management: Tracking, organizing, and managing racing equipment, parts, and inventory
• Compliance Management: Monitoring certifications, safety standards, and regulatory requirements
• Workflow Management: Creating and executing operational procedures, work orders, and maintenance tasks
• Personnel Management: Managing team members, roles, assignments, and qualifications
• Event Management: Planning, scheduling, and coordinating track events and race weekends
• Composition Management: Building and managing kits, assemblies, and equipment configurations
• Vendor Management: Tracking suppliers, purchase orders, and procurement
• Location Management: Managing facilities, venues, and logistics

We reserve the right to modify, update, enhance, or discontinue any features or functionality of the Service at any time, with or without notice. We will make commercially reasonable efforts to notify users of material changes to the Service.

Account Registration

To access certain features of the Service, you must create an account. When creating an account, you agree to:

• Provide Accurate Information: You must provide truthful, accurate, current, and complete information during registration and keep your account information updated
• Maintain Password Security: You are solely responsible for maintaining the confidentiality of your account credentials, including your password. You must use a strong, unique password and should not share your credentials with any other person
• Notify of Unauthorized Access: You must immediately notify RaceOps at security@raceops.app if you become aware of any unauthorized access to or use of your account
• One Person Per Account: Each account is intended for use by a single individual. Sharing account credentials between multiple people is prohibited. If your team requires multiple users, each person must have their own account

You are responsible for all activity that occurs under your account, whether or not you have authorized such activity. RaceOps, LLC will not be liable for any loss or damage arising from your failure to maintain the security of your account credentials.

Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

• Illegal Use: Use the Service for any purpose that is illegal, fraudulent, or prohibited by applicable law or regulation
• Interference with Service: Interfere with, disrupt, or overburden the Service, its servers, or the networks connected to the Service, including through denial-of-service attacks or excessive automated requests
• Reverse Engineering: Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, algorithms, or underlying structure of any part of the Service
• Scraping and Automated Access: Use any robot, spider, scraper, or other automated means to access, collect data from, or interact with the Service without our prior written consent
• Impersonation: Impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation with any person or entity
• Circumventing Security: Attempt to bypass, circumvent, disable, or otherwise interfere with any security features of the Service, including authentication, access controls, or tenant isolation mechanisms
• Uploading Malware: Upload, transmit, or distribute any viruses, worms, trojans, ransomware, or other malicious code or software designed to interrupt, damage, or limit the functionality of the Service
• Unauthorized Access: Attempt to access any portion of the Service, other users' accounts, or computer systems or networks connected to the Service that you are not authorized to access

Violation of these acceptable use policies may result in immediate suspension or termination of your account without prior notice.

Intellectual Property

RaceOps Intellectual Property

The Service, including all software, code, design, text, graphics, logos, trademarks, user interfaces, visual interfaces, photographs, and other content and materials made available through the Service (collectively, “RaceOps Materials”), are owned by or licensed to RaceOps, LLC and are protected by copyright, trademark, patent, trade secret, and other intellectual property laws.

The RaceOps name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of RaceOps, LLC. You may not use such marks without the prior written permission of RaceOps, LLC.

Your Operational Data

You retain full ownership of all operational data, content, and information that you submit, upload, or store through the Service (“Your Data”). RaceOps, LLC does not claim any ownership rights in Your Data.

Limited License to Process Data

By submitting Your Data to the Service, you grant RaceOps, LLC a limited, non-exclusive, worldwide, royalty-free license to use, process, store, transmit, and display Your Data solely as necessary to provide, maintain, and improve the Service for you and your authorized team members. This license terminates when you delete Your Data or when your account is terminated.

User Content and Data

You are solely responsible for the accuracy, quality, integrity, legality, reliability, and appropriateness of all data and content you submit to the Service. You represent and warrant that you have all necessary rights and permissions to submit such data.

Data Ownership

As stated in Section 5, you retain full ownership of Your Data. RaceOps, LLC acts as a data processor on your behalf, processing Your Data solely to provide the Service. Your Data is isolated within your tenant environment and is not accessible to other users or organizations on the platform.

Content Removal

RaceOps, LLC reserves the right to remove, disable access to, or modify any content or data that violates these Terms, applicable law, or that we reasonably determine is harmful, objectionable, inaccurate, or in violation of any third party's intellectual property rights. We will make reasonable efforts to notify you before or promptly after taking such action, unless prohibited by law.

Data Handling

All data submitted to the Service is handled in accordance with our Privacy Policy. We employ industry-standard security measures including encrypted transmission, tenant-isolated databases, role-based access controls, and forensic-grade audit logging to protect Your Data.

SMS and Communication Services

RaceOps, LLC offers transactional SMS messaging as part of the Service. By opting in to receive SMS messages, you agree to the following terms.

Transactional Messages Only

RaceOps, LLC sends SMS messages for transactional and operational purposes only. These messages include one-time passcodes (OTP) for phone number verification, account security notifications, and critical service-related alerts. RaceOps, LLC does not send marketing, promotional, or advertising messages via SMS.

Consent and Opt-In

SMS messaging requires your explicit opt-in consent. By providing your phone number and completing the opt-in process through the platform, you consent to receive transactional SMS messages from RaceOps, LLC in accordance with the Telephone Consumer Protection Act (TCPA) and applicable regulations. The opt-in process includes:

• Providing your mobile phone number in your account settings
• Reviewing and accepting the SMS consent disclosure
• Successfully completing a one-time passcode (OTP) verification sent to your phone number to confirm ownership

Your consent to receive transactional SMS messages is not a condition of purchasing or using the Service. You may use the Service without opting in to SMS communications.

Opting Out

You may opt out of SMS messages at any time by any of the following methods:

• Reply STOP: Reply “STOP” to any SMS message you receive from RaceOps to immediately opt out
• Account Settings: Disable SMS notifications in your account settings within the platform
• Remove Phone Number: Remove your phone number from your account profile to revoke SMS consent
• Contact Support: Email support@raceops.app with your opt-out request

After opting out, you will receive one final confirmation message confirming your opt-out. You will not receive any further SMS messages unless you re-enroll.

HELP Keyword

Reply “HELP” to any SMS message from RaceOps for assistance. You may also contact us at support@raceops.app for help with SMS services.

Message and Data Rates

Standard message and data rates from your wireless carrier may apply to SMS messages sent to and received from RaceOps. RaceOps, LLC is not responsible for any charges imposed by your wireless carrier. Message frequency varies based on your account activity and security events.

SMS Service Provider

RaceOps, LLC uses Brevo (formerly Sendinblue) as its SMS service provider for delivering transactional SMS messages. Brevo processes phone numbers and message content solely to deliver messages on our behalf. For more information about Brevo's data practices, please refer to Brevo's Privacy Policy.

Phone Number Privacy

RaceOps, LLC does not sell, rent, share, or trade your phone number or SMS opt-in data with any third parties for marketing or promotional purposes. Your phone number is used exclusively for delivering transactional SMS messages as described in this section and is shared only with our SMS service provider (Brevo) as necessary to deliver those messages.

Supported Carriers

SMS messaging is supported on major U.S. wireless carriers. Service availability may vary by carrier and geographic location. RaceOps, LLC is not responsible for delayed or undelivered messages due to carrier issues, network congestion, or device limitations.

Payment and Billing

Access to the Service is provided on a subscription basis. By subscribing to a paid plan, you agree to the following payment terms:

Subscription Plans

RaceOps, LLC offers various subscription tiers with different feature sets and usage limits. Details of available plans, including pricing and included features, are published on our website and may be updated from time to time.

Automatic Renewal

Subscriptions automatically renew at the end of each billing period (monthly or annually, depending on your selected plan) unless cancelled before the renewal date. You will be charged the then-current subscription fee at each renewal.

Refund Policy

Subscription fees are non-refundable except as required by applicable law. If you cancel your subscription, you will continue to have access to the Service through the end of your current billing period, but no refund will be issued for the remaining portion of that period.

Price Changes

RaceOps, LLC reserves the right to change subscription pricing at any time. We will provide at least 30 days' advance notice of any price increase by email to the address associated with your account. The new pricing will take effect at the start of your next billing period following the notice period. Your continued use of the Service after a price change constitutes acceptance of the new pricing.

Termination

Termination by You

You may terminate your account at any time by contacting us at support@raceops.app or through the account settings in the platform. Upon termination, your right to access the Service will cease at the end of your current billing period.

Termination by RaceOps

RaceOps, LLC may suspend or terminate your access to the Service immediately, without prior notice or liability, if you breach these Terms, engage in conduct that we reasonably determine is harmful to other users or the Service, fail to pay applicable fees, or if required to do so by law.

Data Export

Upon termination of your account, your data will remain available for export for a period of 30 days. During this 30-day period, you may request a full export of your data by contacting us at support@raceops.app. We will provide your data in a structured, commonly used, machine-readable format.

Data Deletion

After the 30-day data export period, all of your data will be permanently deleted from our systems, including all backups, within a commercially reasonable timeframe. Once deleted, your data cannot be recovered. Certain information may be retained as required by law or for legitimate business purposes, such as fraud prevention or audit compliance.

Disclaimers

THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. To the fullest extent permitted by applicable law, RaceOps, LLC disclaims all warranties, including but not limited to:

• Implied warranties of merchantability, fitness for a particular purpose, and non-infringement
• Any warranty that the Service will be uninterrupted, timely, secure, or error-free
• Any warranty regarding the accuracy, reliability, or completeness of any information or content provided through the Service
• Any warranty that defects in the Service will be corrected

RaceOps, LLC is not liable for any data loss caused by your actions, your failure to maintain adequate backups, or circumstances beyond our reasonable control. The Service is not intended to serve as a substitute for professional safety advice, engineering judgment, regulatory compliance consulting, or any other professional services. You should always rely on qualified professionals for safety-critical decisions.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL RACEOPS, LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, arising out of or related to:

• Your access to, use of, or inability to access or use the Service
• Any conduct or content of any third party on the Service
• Any content obtained from the Service
• Unauthorized access, use, or alteration of your data or transmissions

The aggregate liability of RaceOps, LLC for all claims arising out of or related to these Terms or the Service shall not exceed the total amount you have paid to RaceOps, LLC in the twelve (12) months immediately preceding the event giving rise to the claim.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, the limitations above shall apply to the fullest extent permitted by law.

Indemnification

You agree to defend, indemnify, and hold harmless RaceOps, LLC and its officers, directors, employees, agents, licensors, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including but not limited to reasonable attorney's fees) arising from or related to:

• Your use of or access to the Service
• Your violation of these Terms
• Your violation of any applicable law, rule, or regulation
• Your violation of any rights of a third party, including intellectual property rights
• Any content or data you submit to or transmit through the Service
• Your negligent or willful misconduct

This indemnification obligation will survive the termination of your account and these Terms. RaceOps, LLC reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, and you agree to cooperate with our defense of such claims.

Governing Law

These Terms and any dispute arising out of or related to these Terms or the Service shall be governed by and construed in accordance with the laws of the State of Texas, United States of America, without regard to its conflict of law provisions.

Any legal action, suit, or proceeding arising out of or related to these Terms or the Service shall be instituted exclusively in the federal or state courts located in Travis County, Texas, and you consent to the personal jurisdiction of such courts. You agree to waive any objection to the exercise of jurisdiction over you by such courts and to venue in such courts.

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.

Changes to Terms

RaceOps, LLC reserves the right to modify or replace these Terms at any time at our sole discretion. When we make material changes, we will notify you by:

• Sending an email notification to the address associated with your account at least 30 days before the changes take effect
• Posting a prominent notice on the Service or our website
• Updating the “Effective Date” at the top of these Terms

Your continued use of the Service after the effective date of any changes constitutes your acceptance of the updated Terms. If you do not agree to the modified Terms, you must discontinue your use of the Service and may terminate your account as described in Section 9.

We encourage you to review these Terms periodically to stay informed of any changes. Material changes will not be applied retroactively and will take effect no sooner than 30 days after notification.
